These Terms and Conditions (“Terms” or “Agreement”) constitute a legally binding contract between you (“you,” “your,” or “Member”) and EverSpan Life LLC, a Florida limited liability company with headquarters located at 4040 E. Camelback Rd., Suite 160, Phoenix, Arizona 85018 (“EverSpan Life,” “we,” “us,” or “our”), governing your access to and use of our website, mobile application, online Member portal, digital communications, and all related content, products, and services (collectively, the “Services”).
By creating a Member account, purchasing a membership, or otherwise accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (https://www.everspanlife.com/privacy-policy), which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.
For purposes of this Agreement, the following terms shall have the meanings set forth below:
EverSpan Life is a licensed telehealth medical provider that delivers cash-based, membership-driven medical and wellness services across multiple states in the United States. Our Services may include virtual consultations with Providers, the ordering and review of blood, urine, genetic, and other diagnostic tests (some of which are performed by independent Third-Party Partners), the prescribing of medications when medically appropriate, and the offering of nutritional supplements and related wellness products.
In addition to licensed Providers, EverSpan Life may also make Health Coaches available to Members. Health Coaches may provide education, general wellness guidance, accountability, and support in implementing lifestyle changes. However, Health Coaches are not licensed medical professionals and do not diagnose, treat, prescribe medications, or independently establish or modify plans of care. Any information or recommendations provided by Health Coaches are intended solely for educational and supportive purposes and must not be relied upon as medical advice.
All medical decisions, diagnoses, treatment plans, and prescriptions are the sole responsibility of licensed Providers. Members are encouraged to maintain an ongoing relationship with a primary care physician for comprehensive and preventive care. The Services are not designed to address acute, emergent, or life-threatening conditions. If you are experiencing a medical emergency, you must immediately dial 911.
Access to the Services requires the creation of a secure Member account. By creating an account, you represent and warrant that the information you provide is accurate, complete, and up to date, and you agree to update such information as necessary. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Membership is available only to individuals who are eighteen (18) years of age or older. Minors under the age of eighteen may receive Services only with the documented consent of a parent or legal guardian, who must create the account on behalf of the minor, complete all intake requirements, and assume responsibility for compliance with these Terms. Access to Services may be limited by state licensing requirements, and EverSpan Life reserves the right to restrict or deny membership accordingly.
Membership with EverSpan Life requires payment of an initial sign-up fee followed by recurring subscription charges. Members may also incur additional fees for diagnostic testing, supplements, or prescribed medications. All payments are securely processed through Square.
By providing a valid payment method, you authorize EverSpan Life to charge all applicable fees to your designated account. Failed or declined payments will result in the inability to process related transactions and may lead to suspension or termination of membership. Memberships with unpaid balances may be inactivated without further notice.
Except where otherwise required by law, all payments are non-refundable. EverSpan Life reserves the right to adjust pricing, subscription structures, or billing cycles at its discretion, with reasonable notice provided to Members. Continued use of the Services after any change in fees constitutes acceptance of the new pricing.
EverSpan Life is committed to maintaining the confidentiality and security of PHI in compliance with HIPAA. We require all vendors and Third-Party Partners that handle PHI to enter into Business Associate Agreements to ensure compliance with federal privacy standards.
While we implement reasonable technical, administrative, and physical safeguards to protect Member data, no system is entirely secure. By using the Services, you acknowledge and accept the inherent risks associated with electronic transmission and storage of information.
EverSpan Life utilizes technology tools, including artificial intelligence (AI), to support Providers in interpreting laboratory data and generating recommendations. These tools are intended solely as decision-support aids and do not replace the independent medical judgment of licensed Providers. Members acknowledge that AI-assisted recommendations are supplemental and should be discussed directly with their Provider.
By creating an account and using our Services, you consent to receive electronic communications from EverSpan Life. These may include appointment reminders, care-related messages, membership updates, and promotional materials. Communications may be delivered via email, SMS, secure messaging platforms such as OhMD, or through the mobile application. Standard carrier rates may apply.
You may opt out of promotional communications at any time by replying “STOP” to SMS messages or by contacting us at admin@everspanlife.com. However, essential care-related communications are required to maintain membership and cannot be opted out of.
By using the Services, you agree to provide complete and accurate information, comply with all clinical instructions from Providers, and use the Services only for lawful purposes. You agree not to misuse the Platform, attempt unauthorized access, or interfere with Service functionality. You further agree not to treat information provided by Health Coaches as medical advice and acknowledge that all medical questions or concerns must be directed to licensed Providers.
EverSpan Life reserves the right to suspend or terminate your account for noncompliance with these responsibilities.
EverSpan Life partners with independent laboratories, pharmacies, supplement providers, and diagnostic partners. These Third-Party Partners are independent contractors and not controlled by EverSpan Life. We make no representations or warranties about their services or products, and we disclaim any liability arising from their actions or omissions. Use of such third-party services is at your own risk and may be subject to separate terms and conditions.
The Platform, including all content, software, design, and trademarks, is the property of EverSpan Life or its licensors. You are granted a limited, revocable, non-transferable license to use the Services solely for personal, non-commercial purposes. Unauthorized reproduction, distribution, modification, or exploitation of our intellectual property is strictly prohibited.
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, EverSpan Life disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted access, freedom from errors, or immunity from cyber threats.
Health Coaches are not medical providers and do not offer medical advice, diagnosis, or treatment. Any guidance they provide is intended for general educational and supportive purposes only. You should never disregard professional medical advice from a licensed Provider or your primary care physician based on information received from a Health Coach.
To the fullest extent permitted by law, EverSpan Life shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, goodwill, or data, arising from your use of the Services. Our maximum aggregate liability to any Member shall not exceed the greater of one hundred dollars ($100) or the total fees paid by the Member in the six (6) months preceding the claim.
You agree to indemnify, defend, and hold harmless EverSpan Life, its Providers, Health Coaches, officers, employees, contractors, and affiliates against any claims, liabilities, or expenses arising from your use of the Services, violation of these Terms, or reliance on Third-Party products or services.
These Terms shall be governed by the laws of the State of Arizona. Any dispute shall be resolved by binding individual arbitration under the rules of the American Arbitration Association in Maricopa County, Arizona. Members waive the right to participate in class actions or representative proceedings. If arbitration is not available for a specific claim, such claim shall be brought exclusively in the state or federal courts of Maricopa County, Arizona.
EverSpan Life shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, cyberattacks, governmental actions, labor disputes, or interruptions in internet or telecommunications services.
EverSpan Life may suspend or terminate membership for failure to comply with these Terms, failure to maintain payment, or misuse of the Services. Upon termination, certain provisions, including those relating to privacy, disclaimers, limitations of liability, and dispute resolution, will survive.
EverSpan Life respects intellectual property rights. If you believe that content within the Services infringes on your copyright, you may send a DMCA-compliant notice to:

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and EverSpan Life. If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce any right does not constitute a waiver. You may not assign your rights without our prior written consent; we may assign this Agreement at our discretion.
We may update these Terms at any time by posting a revised version on the Platform. The updated Terms will be effective as of the posted date. Continued use of the Services constitutes acceptance of the revised Terms.
